1. Acceptance

By creating an account or using SubPlat ("Service"), you agree to these Terms of Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization.

2. Description of service

SubPlat provides tools to collect, review, and manage submissions within your organization. Features may change over time. We strive for high availability but do not guarantee uninterrupted access.

3. Accounts and security

You are responsible for maintaining the confidentiality of your credentials and for activity under your account. Notify us promptly of unauthorized use. You must provide accurate registration information.

4. Acceptable use

You will not misuse the Service, including by attempting to access data you are not authorized to view, interfering with the Service, distributing malware, or using the Service in violation of applicable law. We may suspend or terminate access for violations.

5. Your content

You retain rights to content you submit. You grant us a limited license to host, process, and display that content solely to provide and improve the Service. You are responsible for the legality of your content and obtaining necessary consents from your end users.

6. Privacy

Our collection and use of personal information is described in our Privacy Policy (provided separately or on our website). By using the Service, you acknowledge that processing may occur in jurisdictions where we or our subprocessors operate.

7. Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUBPLAT AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL. OUR AGGREGATE LIABILITY FOR CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM (OR ONE HUNDRED US DOLLARS IF NO FEES APPLY).

9. Termination

You may stop using the Service at any time. We may suspend or terminate access for breach of these terms or for operational or legal reasons, with notice where reasonably practicable.

10. Changes

We may update these terms. We will post the revised version and update the "Last updated" date. Continued use after changes become effective constitutes acceptance.

11. Governing law

These terms are governed by the laws of the jurisdiction you select in your order form or, if none, the laws applicable to your primary place of business, excluding conflict-of-law rules.
